Key points of the General Terms
(1) Our offers are addressed exclusively to businesses within the meaning of § 14 German Civil Code. We do not conclude contracts with consumers. (2) On request we prepare an offer in text form with scope, fixed price, schedule and acceptance criteria. The contract is concluded when the customer accepts it in text form within the stated period. Contract language is German. (3) All prices are final prices in euros; under § 19 UStG no VAT is charged. Extra work is only charged if the customer agreed to it beforehand in text form. (4) After acceptance the customer receives an invoice by email. For orders from €1,000 we invoice 50% at conclusion of the contract and the rest after acceptance. Amounts above €249 can also be paid online via Stripe in instalments of at most €249 each; care can be paid monthly online. (5) For software the customer receives the complete source code and, after full payment, the usage rights stated in the offer, by default a simple right without limits in time and territory to use and adapt it for the customer's own business. (6) Care contracts run for an indefinite period and can be cancelled in text form at the end of any month; unused time expires at the end of the month. (7) Statutory warranty rights apply; limitation period one year from acceptance. Liability follows the German text. German law applies.
